Terms and Conditions for Clients 

Teachably Ltd is a limited company number 12634783 whose registered office is at 9 Julia Street, Rochdale, England, OL12 6TL. These Terms and Conditions (“Agreement”) form the contract between Teachably (‘we’ or ‘us’ or ‘our’) and the Parents or any persons (“you” or “client”) who engage the Service of Teachably on behalf of their son/daughter/dependant (“your child”) or themselves if they are of the age of 18 or above.  

  1. Definitions 

In these Terms and Conditions:  

Consultation” means a free 5 to 15 minute, one on one session with a tutor to discuss the most suitable services that Teachably can provide for you.  

“Variable” means a value will be defined on the webpage at the point of booking said service.  

Confirmation Correspondence” means the Conversation, the Summary and/or any subsequent correspondence between us which sets out, confirms or clarifies the details of the Service.  

Conversation” means the initial conversation between us referenced at clause 3;  

Fee” means the fee payable to Teachably for the Tutoring Service as set out in clause 5;  

Class” means a lesson where the duration, capacity of students, content and structure are all variable, details of which will be set out on the webpage specific to where the lesson can be booked.  

“Program” means a structured group of lessons, planned over a variable period of time. 

Holiday Break” – certain dates on which Teachably will be closed. Such dates to be confirmed on an annual basis.  

Hours” means the number of Tuition hours discussed/set out in the Confirmation Correspondence;  

One-to-one Tutoring” means a ratio of 1 child to 1 tutor per session;  

Paired Tutoring” means a ratio of 2 children to 1 tutor per session;  

Service” means a type of Tuition as set out and agreed in the Confirmation Correspondence;  

Service End Date” means the date on which the Service will end as agreed (if at all) in the Confirmation Correspondence;  

Service Start Date” means the date on which the Service will begin as discussed and/or set out in the Confirmation Correspondence;  

Summary” means the summary of the Conversation referred to in clause 3;  

Term-time Tuition” – the dates during which Teachably will be open to offer the Tutoring and/or Service. (with the exception of the Holiday Break).  

Tuition” means Hourly Tuition offered online only and as agreed as appropriate;  

Tutor” means the person who is registered with Teachably to provide educational tutoring services and who accepts to undertake the service;  

Tutoring” means as discussed/set out in the Confirmation Correspondence; 

Tutoring Location” shall mean online Tuition only as set out in the Confirmation Correspondence;  

Working Days” means any day on which clearing banks are open for business in London.  

  1. General 

2.1 These Terms and Conditions (and any document referred to in them including the Confirmation Correspondence) contain the entire agreement (“Agreement”) between us and you and supersede any prior agreement between us relating to their subject matter. Nothing in this clause shall limit or exclude any liability for fraud.  

2.2 These Terms and Conditions shall apply (and be deemed to be accepted by you) from the date in which you instruct Teachably to complete a Consultation or begin any form of tuition mentioned in the Definitions on Page 1. Unless otherwise agreed in writing by a Director of Teachably, these Terms and Conditions shall prevail over any other terms of business or conditions put forward by you. To the extent that there is any conflict or inconsistency between any Confirmation Correspondence and the terms contained herein, the terms contained in the Confirmation Correspondence shall take precedence for the relevant Service.  

2.3 To the extent that the Tutor is engaged by Teachably as a self-employed Tutor nothing contained within this Agreement shall constitute the relationship of employer and employee and/or worker or a partnership between Teachably and the Tutor, or between you and the Tutor.  

2.4 Once a Tutoring booking has been confirmed, you are entering into an agreement between you and the Tutor. Teachably acts as an agent on behalf of the Tutor and the client. Teachably is only responsible for endeavouring to match each client with an appropriate Tutor for the specific subject, high level lesson plan, dates and times requested or agreed by the client, and is not responsible for the content of lessons or the teaching methods. 

  1. Our Obligations

3.1 We will use reasonable endeavours to carry out Tutoring of such nature as required for the delivery of the Service. We will ensure that prior to working on a Service the Tutor has provides us with:  

  1. evidence as to his or her identity;  
  1. confirmation that he/she has the experience, training, qualifications and/or any authorisations which you have indicated to us are necessary for the relevant Role and/or which are required by law or a relevant professional body;  
  1. that a current DBS is in place; and  
  1. confirmation that he/she is willing to enter into the relevant Service.  

 

  1. For each Service Teachably will:  

 

  1. once you we have received the confirmation as to the Service you require we will assign the Tutor to provide the Tuition at the relevant Hours; and from the relevant Service Start Date until the earlier of the Service End Date (if any) and/or the date on which the Service is terminated in accordance with these Terms and Conditions and/or the relevant notice period (if any) discussed/set out in the Confirmation Correspondence.  
  1. You are obliged to pay us any fee that falls due in accordance with clause 5 of these Terms and Conditions.  
  1. For each Program Sign Up Teachably will: 
  1. Confirm certain information with you at the booking stage of the consultancy and during the conversation. 
  1. Ask various questions to you related to but not limited to the level at which the student is working at as specified by their school. 
  1. Personalise a response to you that will, to the best of the tutor’s ability, provide you with recommendations for the most suitable service for the student. 
  1. Your Obligations 

4.1 You shall:  

  1. co-operate with Teachably in all matters relating to the Service;  
  1. provide Teachably with such information and materials as may reasonably be required in order to supply the Service and ensure that such information is accurate in all material respects;  
  1. comply with the payment terms of each material invoice; and  
  1. ensure your child is aware of the high behavioural expectations during sessions to receive maximum benefit from Tutoring.  
  1. Fees and Payments 

5.1 Upon the selection of a Service you will incur a Fee. This clause sets out how the Fee will be calculated and when the Fee will be payable.  

5.2 The amount and type of Fees applicable to a Service will be confirmed to you in the Confirmation Correspondence.  

5.3 To the extent that any terms within this clause conflict with those in any subsequent Confirmation Correspondence the terms contained within the latest Confirmation Correspondence shall take precedence.  

5.4 The Fee will consist of one or a number of the relevant charges as set out at Schedule 1. Some components of the Fee are fixed and their value is set out below. Other components of the Fee (such as the standard hourly fee) will vary depending on the Service the value of such charges will be confirmed to you in the Confirmation Correspondence.  

5.5 Term-time Tuition dates will usually correspond to the school holiday dates set out by Rochdale Council. Exceptions may only be made to the Service dates at the discretion of Teachably Directors, to accommodate different school holiday dates, but the general expectation is that all students will pay for sessions that fall within these dates.  

5.6 Teachably imposes different payment terms dependant on the Service selected by you and as agreed in the Confirmation Correspondence, as follows:  

(I)           One-to-one Tutoring: £25 per hour and the Service must be paid for in full for the period specified in the Confirmation Correspondence prior to the Service Start Date.  

(ii)         Paired Tutoring: £20 per hour and the Service must be paid for in full for the period specified in the Confirmation Correspondence prior to the Service Start Date.  

  1. Classes: vary in cost per hour,and the Service must be paid for in full for the period specified in the Confirmation Correspondence prior to the Service Start Date. 

 

  1. Programs: £69.99 per month and the Service must be paid for in full for the monthly period specified in the Confirmation Correspondence prior to the Service Start Date. One you have paid; the month corresponding to your payment is no longer refundable. Monthly payments will automatically be taken out your account every month via our secured payment processing system, Stripe. 
  1. Discord: £20 per month, once you have paid you can cancel the payment at any time, but the month that you have paid for is no longer refundable. Monthly payments will automatically be taken out your account every month via our secured payment processing system, Stripe. 

5.7 You may pay your invoice via our online payment system, Stripe or any other payment method as agreed by us. Any queries arising from any invoice must be brought to our attention within seven Working Days of the date of the relevant invoice. All invoices shall include VAT where appropriate.  

5.8 The student is not eligible to join the class until we receive receipt of payment for the weekly classes.  

5.9 You shall pay all amounts due as per each material invoice in full without any set-off, counterclaim, deduction or withholding (except for any deduction or withholding required by law).  

  1. Intellectual Property 

6.1 All Intellectual Property Rights in or arising out of or in connection with the Service shall be owned by Teachably.  

6.2 All materials supplied in accordance with the Service are the exclusive property of Teachably.  

  1. 7. Cancellation, Termination and Rearranging Services

7.1 Cancelling a Service – please ensure that you understand the arrangements for each lesson. If you need to cancel or change a lesson, please send a confirmation email to support@teachably.co.uk.  

7.2 Should you wish to cancel your Service (excluding programs) you will be required to give 3 days’ notice prior to the scheduled Service in writing for the attention of Asad or Basim via email at booking@teachably.co.uk If notice of cancellation of a scheduled Service is given within 3 days of the commencement of the Service, You will be entitled to a partial refund of 70% of any monies paid or due in accordance with clause 5 above unless Teachably decide otherwise due to the circumstances presented to Us. 

7.3 Should you wish to cancel you’re a program and or discord subscriptions (specific types of services), you will be required to give notice regarding this cancelation to us in writing via email at support@teachably.co.uk. You are also required to cancel your subscription yourself via our stripe customer portal which can be found on our website “ww.teachably.co.uk”. You are not eligible to be refunded the portion of the month that you no longer wish to attend, you will still have full access until the period you have paid for comes to an end. If you do not have access, you must inform Teachably via email at support@teachably.co.uk. 

7.4 Any lessons cancelled from services excluding programs during the notice period will be rearranged, if a time can be agreed upon between both parties, and will still be charged for. If no time can be agreed on within 24 hours of the cancellation, then no refund or rescheduling will be offered. 

7.5 Rearranging lessons – both you and the Tutor must give reasonable notice to each other of any holiday commitments you may have or any changes to the tuition timetable necessary because of illness. If you cannot make your lesson, please note that your lesson is non-transferable and non-refundable due to timetabling restrictions and constraints. If Teachably are unable to deliver your scheduled lesson you will be entitled to a full refund or provided with an alternative lesson time agreeable to you.  

7.6 Replacement tutors – in the event that your usual tutor is unavailable, Teachably may provide an alternative Tutor to deliver the lesson(s). If this happens, Teachably will advise you in advance, either in person or in writing, and you will have the option to accept this substitution or receive a refund. There will be a full meeting between the usual Tutor and the replacement Tutor prior to the lesson, to ensure continuity of learning. This will be you full and only remedy. 

7.7 Terminating this Agreement – generally Teachably may give you 14 Working Days written notice terminating this Agreement at any time, notwithstanding that either party may give notice in writing to the other terminating this Agreement with immediate effect if:  

  1. the other party commits any material breach of any of the terms of this Agreement and that breach (if capable of remedy) is not remedied within 5 Working Days after notice being given requiring it to be remedied;  
  1. the other party becomes bankrupt, insolvent or becomes the subject of a receiving or winding-up order, makes any composition with its creditors or has an administrative receiver appointed over all or part of its undertaking or assets, or either party ceases, or threatens to cease, to carry on business.  

7.8 If you are late for a service, the Tutor is not obligated to work beyond the scheduled end time or to refund them for that time. If the Tutor stops work at the scheduled end time, the Service will be charged at the usual price. If the Tutor is late for a Service, then it is the duty of the Tutor to arrange to make up for lost time, if lost time can not be rearranged, then you will be refunded according to the amount of time you missed out on, the rate of which will be calculated depending on how much you paid for that time. 

  1. 8. Liability 

8.1 If you have a complaint against the Tutor or against us, you must inform us of that complaint within 24 hours of the occurrence that gave rise to it by sending an email to support@teachably.co.uk . Any opinion expressed by the Tutor is not an expression of the opinions of Teachably. Neither Teachably nor any of its staff shall be liable to you for any loss, injury, damage, expense or delay incurred or suffered by you arising directly or indirectly from or in any way connected with the introduction or supply of a Tutor to you or with any failure by Teachably to introduce or supply a Tutor and, in particular, but without limitation to the foregoing, any such loss, injury, damage, expense or delay arising from or in any way connected with:  

  1. failure of the Tutor to meet your requirements for all or any of the purposes for which he or she is required by you;  
  1. any act or omission of a Tutor, whether wilful, negligent, fraudulent, dishonest, reckless or otherwise; and  
  1. any loss, injury, damage, expense or delay incurred or suffered by a Tutor, provided that nothing in this clause 8 shall exclude or restrict the liability of Teachably to you for death or personal injury resulting from negligence or for fraudulent misrepresentation or in any other circumstances where liability may not be so limited under any applicable law.  
  1. 9. Private Arrangements 

9.1 You are not permitted to make private arrangements for tuition with Tutors introduced or supplied by us to you. By confirming Tuition, you undertake not to make any such arrangements with any Tutor registered with us either during the term of this Agreement or for a minimum of 3 months following its termination.  

  1. 10. Responsibilities of the Tutor 

10.1 A Tutor is not responsible for chaperoning minors or guarding a house and/or household effects. Please ensure that when a Tutor is with your child at your place of residence, a responsible adult is also present at all times during the Tutoring.  

  1. 11. Data Protection 

11.1 Teachably and the Client shall comply with their respective obligations under the Data Protection Laws at all times.  

11.2 Teachably shall procure that each of their Tutors shall also comply with their respective obligations under Data Protection Laws at all times.  

11.3 By entering into this Agreement you consent to our use of your, and where you are the parent or legal guardian of the child receiving Tutoring to use that individual’s, personal data for the purpose of providing the Tutoring which may include (without limitation) effecting introductions to Tutors, use of such data for billing and/or fee collecting purposes and/or to enable us to make contact from time to time.  

11.3 To improve quality and monitor student experience of online delivery methods, Teachably may record some or all of your online Tuition session. These recordings will be stored on Teachably inhouse system. Tutors sometimes put links to that these repositories on the relevant page of the Teachably’s virtual learning platform. The recording is made and posted up to enable absent students to access the teaching session, students who attended to re-visit the session and Tutors to reflect on the teaching session and plan future teaching sessions accordingly. Depending on how the teaching session is delivered this may include the recording of audio or video of the Tutors and / or students. Should you, not wish to be recorded or where you are the parent or legal guardian of the child receiving Tutoring wish not the child to be recorded you should ensure you are not in view of the video camera, and you could choose not to speak during that session or ask the tutor to edit out where you spoke. They will consider the reasonableness of this to achieve but are not obliged to do it. As the teaching session is taking place online you have the ability to mute your microphone or turn off your webcam. We hope you don’t feel the need to do this as your tutors and your fellow students value your contribution to the sessions, but you are allowed to do so unless the session is being recorded for consultation purposes or where the tutor deems it necessary for the student’s progress. Your name will show within the session as shown on your Zoom account. Further details can be found on our Privacy Policy.

For the purposes of this Agreement:  

Data Protection Laws” means the Data Protection Act 2018 and the EU Data Protection Directive 95/46/EC and/or the Regulation (EU) 679/2016, the General Data Protection Regulation (EU) 2016/679 and/or any corresponding or equivalent national laws or regulations any laws and/or regulations implementing, amending or replacing the above legislation and all applicable laws and regulations relating to the processing of personal data and privacy; 

  1. 12. Events Outside of Our Control (Force Majeure) 

12.1 We will not be liable for any failure or delay in performing our obligations where that failure or delay results from any cause that is beyond our reasonable control. Such causes include, but are not limited to: power failure, internet service provider failure, strikes, lock-outs or other industrial action by third parties, riots and other civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism (threatened or actual), acts of war (declared, undeclared, threatened, actual or preparations for war), pandemic, epidemic or other natural disaster, or any other event that is beyond our reasonable control.  

12.2 If any event described under this clause 12 occurs that is likely to adversely affect our performance of any of our obligations under these Terms and Conditions:  

  1. We will inform you as soon as is reasonably possible;  
  1. Our obligations under these Terms and Conditions will be suspended and any time limits that we are bound by will be extended accordingly;  
  1. We will inform you when the event outside of our control is over and provide details of any new dates, times or availability of Services as necessary;  
  1. If an event outside of our control occurs and you wish to cancel the Agreement, you may do so in accordance with your right to cancel under clause 7. Any refunds due to you as a result of that cancellation will be paid to you as soon as is reasonably possible, and in any event within 14 Calendar Days of our acceptance of your cancellation notice; and  
  1. If the event outside of our control continues for more than 4 weeks, we will cancel the Agreement in accordance with our right to cancel under Clause 7 and inform you of the cancellation. Any refunds due to you as a result of that cancellation will be paid to you as soon as is reasonably possible, and in any event within 14 Calendar Days of our cancellation notice.  
  1. 13. Miscellaneous 

13.1 No modification or variation of this Agreement shall be effective unless a director of Teachably consents in writing to such modification or variation and/or as set out by Teachably regarding a specific Service in the relevant Confirmation Correspondence.  

13.2 If any provision of this Agreement is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions hereof and the remainder of the provision in question shall not be affected.  

13.3 Any waiver of any breach of, or default under any of the terms of this Agreement by us, shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other terms of this Agreement.  

13.4 We shall be entitled to transfer or assign the benefit and/or burden of this Agreement.  

13.5 The expiration or termination of this Agreement, howsoever arising, shall not operate to affect such of the provisions of this Agreement as are expressed to operate after then. Neither party shall have any liability under or be deemed to be in breach of this Agreement for any delays or failures in performance of this Agreement which result from circumstances beyond the reasonable control of that party. The party affected by such circumstances shall promptly notify the other party in writing whether such circumstances cause a delay or failure in performance and when they cease to do so. If such circumstances continue for a continuous period of more than 2 weeks, either party may terminate this Agreement by written notice to the other party.  

  1. 14. Governing Law and Jurisdiction 

14.1 This Agreement (and any non-contractual obligations or dispute or claim arising out of or in connection with it or its subject matter) shall be governed by English law and the parties hereby submit to the exclusive jurisdiction of the English Court 

 

SCHEDULE 1: CHARGING SCHEDULE 

  1. General 

This Schedule 1 (the “Charging Schedule“) sets out an explanation of the fees and other costs which Teachably is entitled to invoice you for in accordance with clause 5 of the main Agreement to which this Charging Schedule is attached.  

The amount and type of Fees applicable to a Service will be confirmed to you in the Confirmation Correspondence.  

To the extent that any terms within this Schedule conflict with those in any subsequent Confirmation Correspondence the terms contained within the latest Confirmation Correspondence shall take precedence.  

  1. The Fee 

The Fee means the total of the following charges, as applicable:  

The “fixed Fee” as confirmed in your Confirmation Correspondence;  

and/or Any “Extra Charge” as set out in the Confirmation Correspondence sent to you.
